Wavely Wireless Affiliate Program
Rules, Regulations, and Guidelines
1. Program Overview
Wavely Wireless (“Wavely,” “we,” “our,” or “us”) operates an Affiliate Program (“Program”) designed to reward individuals and businesses (“Affiliate(s)”) who refer new customers to our wireless plans or purchase products form our online presence. By joining, the Affiliate agrees to abide by these rules, regulations, and guidelines.
2. Enrollment & Eligibility
- Application Process
- Prospective affiliates must submit a complete application via the Wavely Affiliate Program portal.
- Acceptance into the Program is at Wavely’s sole discretion; submitting an application does not guarantee approval.
- Approval
- Upon approval, an Affiliate will receive a unique referral link and/or code, along with instructions to access our digital marketing materials.
- Affiliate Status
- Approved Affiliates are considered independent contractors and are not employees or representatives of Wavely Wireless.
- This agreement does not create a joint venture, partnership, or franchise relationship between Wavely and the Affiliate.
3. Affiliate Activation Kit
- Purpose & Contents
- Affiliates are required to purchase the Wavely Affiliate Activation Kit (“Kit”) to begin marketing and selling Wavely services.
- The Kit is priced at $45 and includes:
- One SIM card each for AT&T, T-Mobile, and Verizon.
- Access to a digital library of sales guides, promotions, and carrier-specific resources.
- Instructions for activating and distributing SIM cards to customers.
- Shipping & Handling
- The Affiliate is responsible for shipping and handling charges. Delivery times may vary.
- Return & Refund Policy
- Affiliates may return the Kit within 30 days of purchase for a full refund, provided all contents are intact, unused, and in resalable condition.
- The Affiliate must request a Return Merchandise Authorization (RMA) from Wavely prior to returning the Kit.
- The cost of return shipping is the Affiliate’s responsibility.
- Replacement & Additional SIM Cards
- Affiliates may purchase additional or replacement SIM cards as needed for a nominal fee determined by Wavely.
4. Commission Structure
- Direct Sales Phone Plans Only (Tier 1)
- Initial Sale Commission: Affiliates earn 10% of the plan price when they directly enroll a new customer.
- First Renewal Commission: Affiliates earn another 10% of the plan price when that same customer renews their plan for the first time (i.e., the customer’s second month of service).
- Sub-Affiliate Sales (Tier 2 and Tier 3)
- Tier 2: If a direct sub-affiliate (someone you personally recruit into the Program) makes a sale, you earn 1% of the plan price on the initial sale and 1% on the first renewal.
- Tier 3: If your direct sub-affiliate recruits another affiliate (your “second-level sub-affiliate”), you also earn 1% on the initial sale and 1% on the first renewal of customers enrolled by that second-level sub-affiliate.
- No commissions are paid on additional tiers beyond Tier 3.
- Definition of Plan Price
- “Plan Price” refers to the monthly service charge for the wireless plan sold, excluding taxes, fees, device charges, or other add-ons.
- Example
- Direct Sale: A $60/month T-Mobile plan yields $6 (10%) on the initial sale and $6 (10%) on the first renewal, totaling $12.
- Sub-Affiliate Sale: If your sub-affiliate sells the same $60/month plan, you earn $0.60 (1%) on the initial sale and $0.60 (1%) on the first renewal, totaling $1.20.
- Non Phone Plan Commissions: Affiliates shall receive a one time 5% commission on physical goods, excluding sim cards, sold through their channels
5. Commission Payments
- Calculation & Tracking
- Commissions are tracked through unique referral links and/or codes. Wavely is not responsible for commissions lost due to incorrect or missing referral data.
- Payment Schedule
- Commissions are calculated monthly. Payments are issued within thirty (30) days after the close of the billing cycle in which commissions were earned.
- Minimum Payout
- There may be a minimum payout threshold (e.g., $50). If the Affiliate’s total commission is below the threshold, it will roll over to the next payout cycle until the threshold is met or exceeded.
- Chargebacks & Refunds
- If a referred customer cancels service or obtains a refund within the stated refund period, any commissions earned on that customer’s sale may be deducted from the Affiliate’s future payments.
6. Marketing & Promotion Guidelines
- Approved Materials
- Affiliates must use only Wavely-provided or approved marketing materials and follow any provided branding guidelines.
- Prohibited Content
- Affiliates must not engage in any fraudulent, unlawful, or misleading advertising practices, including spam, false claims, or unauthorized telemarketing.
- Any advertisements or promotions that disparage Wavely or its partners are strictly prohibited.
- Channel Use
- Affiliates may promote Wavely via personal websites, blogs, social media channels, or direct outreach, as long as all activities comply with applicable laws and these guidelines.
- All email marketing must comply with CAN-SPAM regulations, and any telemarketing must comply with TCPA regulations where applicable.
- Intellectual Property
- Affiliates receive a non-exclusive, revocable license to use Wavely’s trademarks, logos, and marketing materials strictly for promotional purposes related to the Program.
- Modification of Wavely’s intellectual property without prior written consent is strictly prohibited.
7. Sub-Affiliate Management
- Recruitment
- Affiliates are encouraged to recruit sub-affiliates (Tier 2). Those sub-affiliates can also recruit their own sub-affiliates (Tier 3).
- Responsibilities
- Affiliates are expected to ensure that sub-affiliates understand and comply with these Program rules and guidelines.
- Wavely reserves the right to terminate any sub-affiliate’s participation in the Program for non-compliance.
- Compensation
- The 1% compensation for Tier 2 and Tier 3 is the Affiliate’s sole payment for sub-affiliate sales activities. No additional fees or commissions apply for deeper layers.
8. Term & Termination
- Term
- This Agreement remains in effect from the date of acceptance until terminated by either party.
- Termination by Affiliate
- An Affiliate may terminate their participation at any time by providing written notice to Wavely.
- Termination by Wavely
- Wavely may terminate an Affiliate’s participation at any time, with or without cause, by providing written notice.
- Affiliates found in violation of these rules, or any applicable law, may be terminated immediately without notice.
- Effects of Termination
- Upon termination, the Affiliate must immediately cease all promotion of Wavely services and remove any Wavely branding or marketing materials.
- Commissions accrued up to the date of termination will be paid out per the standard payment schedule, provided the Affiliate is in good standing.
9. Confidentiality
- Confidential Information
- Affiliates may have access to confidential or proprietary information about Wavely’s business, marketing strategies, or pricing structures.
- Affiliates agree not to disclose such information to third parties without Wavely’s written permission.
10. Disclaimers & Limitations of Liability
- Disclaimer
- Wavely makes no express or implied warranties regarding the Affiliate Program.
- Participation in the Program is at the Affiliate’s own risk.
- Liability Limitation
- Under no circumstances will Wavely be liable for indirect, incidental, consequential, or special damages arising out of or related to this Agreement, even if Wavely has been advised of the possibility of such damages.
11. Governing Law & Dispute Resolution
- Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of the state/jurisdiction in which Wavely is headquartered.
- Dispute Resolution
- In the event of a dispute, both parties agree to first attempt to resolve it through good-faith negotiations.
- If unresolved, disputes will be settled by binding arbitration in accordance with the rules of the American Arbitration Association (or another agreed-upon arbitration body).
12. General Provisions
- Modifications
- Wavely may modify any term of the Program at any time. Affiliates will be notified by email or via the Affiliate portal. Continued participation constitutes acceptance of any changes.
- Severability
- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement
- This Agreement represents the entire understanding between Wavely and the Affiliate regarding the subject matter and supersedes all prior agreements or understandings.
